We represent buyers and sellers in seven- to nine -figure commercial and seven- and eight-figure residential real property transactions, owners of real property in coverage disputes with title insurers and in disputes involving property line, easement, adverse possession, and nuisance claims. We represent buyers and sellers of real property in failure to disclose lawsuits. We represent clients in office, retail and industrial leasing, lease finance, leveraged leasing, shopping center leasing, and dispute resolution and litigation.

Real Property Development, Management, Finance and Investment Practice

  • Represented Awesomeness, LLC in 2,750 SF Los Angeles office lease transaction, and Silicon Beach startups in 23,000 SF Playa Vista and 12,800 SF downtown Los Angeles office space transactions.
  • Represented seller of approx. 18 acres of vacant land located in Pacific Palisades, California.

  • Represented residential real estate developer in private placement of $7 million of Secured Promissory Notes.
  • Represented owners of quick service restaurant in lease of 1,850 SF of retail space on Sunset Boulevard in Los Angeles, of Pilates/yoga studio in lease of 1,656 SF of retail space in Brentwood area of Los Angeles, and hair salon in lease of 1,050 retail space in Malibu.
  • Serve as outside general counsel to family trust with 16 commercial and multi-family real estate holdings throughout U.S.; Los Angeles-based commercial real estate broker; and Los Angeles-based residential property in-fill developer, representing these clients in hundreds of transactions and several lawsuits.
  • Prepared and negotiated approximately twenty office leases (up to 80,000 s.f.), five retail leases (up to 5,000 s.f.), eight licenses and five easement agreements for Maguire/Thomas Partners, Columbia Development Partners and Thomas Development Co.

  • Prepared documents for and negotiated terms of acquisition of land and construction of design-build medical facility for East Bay Medical Oncology & Hematology Associates and for hospital EMT building for Environmental Development Group.

  • Performed due diligence and drafted offering circulars, partnership agreements and investor questionnaires for one $55 million and one $115 million real estate limited partnership offering by Sumitomo Realty CA, Inc.

  • Prepared and negotiated purchase/sale agreement for regional shopping center and Section 1031 like-kind exchange documents in connection with acquisition of 120-unit apartment complex and of machine shop.

  • Prepared and negotiated purchase/sale agreement for $60 million interest in Plaza las Fuentes, a hotel/retail/office facility located in Pasadena, CA, on behalf of Maguire/Thomas Partners.

  • Performed land survey and title insurance policy reviews and analyses and handled zoning and Subdivision Map Act matters for Maguire Thomas Partners’ Playa Vista Project near Marina del Rey and proposed industrial park in Baldwin Hills by First Colony Life Insurance Company.

  • Prepared loan agreements, notes, deeds of trust, assignments of rent, security and pledge agreements and other loan documents for five construction loans, in principal amounts of $30 to $80 million, for medical office/retail complex, tennis club, condominium and single family residential projects made by Sumitomo Bank.

  • Reviewed and assisted in negotiation of real estate loan documents with counsel for Bank of America, Sanwa Bank, Chase Manhattan Bank and Industrial Bank of Japan for construction loan facilities up to $450 million on behalf of national developer.

  • Represented underground utilities contractor in $30+ million surface street design/construction defect action; achieved favorable settlement.

  • Represented purchaser of 18,000 SF office condominium located in San Marcos, California.
  • Counseled and represented Manhattan-based specialty lender in defaulted loans secured by California real estate.
  • Counseled and represented Manhattan-based specialty lender in defaulted loans secured by California real estate.
  • Represented property owners in construction of $12 million residence in Beverly Hills and in multi-party agreement to develop $20 million residence in Bird Streets area of Beverly Hills.
  • Represented food importer in lease of 98,670 SF industrial building located on South Vermont Avenue, Los Angeles.
