  • Serve/served as outside general counsel to biofuel producer and transporter with footprint throughout Southwestern U.S.; family trust with 16 commercial and multi-family real estate holdings throughout U.S.; Los Angeles-based commercial real estate broker; Los Angeles-based residential property in-fill developer; national pharmaceutical brand, cosmeceutical reseller and cosmeceutical distribution companies; and owner/operator of massage therapy locations in Los Angeles area, representing these clients in hundreds of transactions and several lawsuits.  

  • Prepared and negotiated lease, construction, consulting and other agreements in connection with construction of 10 million gal./year biodiesel processing plant.

  • Prepared biofuel sale, delivery and storage agreement between fuel provider and Unisource Energy Corp.

  • Prepared and negotiated “green” property maintenance services and organics-to-energy agreement for Northern California Wal-Mart Stores on behalf of sustainability client.

  • Prepared and negotiated purchase/sale agreement and handled title, survey and environmental matters in connection with acquisition of 200,000 s.f. industrial property and plant expansion by Surface Protection Industries.

  • Prepared documents for, negotiated terms of, and managed sale of large former industrial site located in Contra Costa County, California for Pioneer Chemical Co.

  • Prepared documents for and negotiated terms of stock sale of owner/operator of shipping terminal, Contra Costa Terminals.

  • Prepared asset purchase agreements between purchaser Devco Sulfur California, Inc. and seller Iosulphur California, Inc., of manufacturing facility.

  • Structured, oversaw commercial due diligence on, led internal team and hired/managed outside counsel and consultants for, and coordinated management and Board approval of purchase of 284-MW coal-fired co-generation power plant located in Chengdu, China for Enron International.
  • Represented biofuels producer in breach of warranty dispute with container manufacturer.
  • Prevailed on two motions for partial summary judgment and other dispositive motions in defending biofuels manufacturer against trade secret misappropriation and breach of contract claims by competitor.
